Speedinvest’s Legal team is looking for a Legal Counsel in Vienna to provide parental leave cover for at least 12 months, with the possibility for extension.

ABOUT THE POSITION

In this role you will be part of Speedinvest’s Legal team and work closely with all other teams (i.e. the Investment team; People; Governance, Risk & Compliance; Finance; Portfolio Controlling; Fund Reporting, etc.). You will have two areas of responsibilities: Your main area of responsibility will be general legal matters and the other will be to support on investment / divestment transactions.

YOUR RESPONSIBILITIES

General legal matters:

  • Draft / review and negotiate various agreements regularly entered into by Speedinvest or its group companies (e.g. service agreements, employment agreements, consulting agreements, sponsorship agreements, engagement letters, lease agreements, intra-group (services) agreements, finder’s fee agreements, etc.)

  • Support with the drafting of various documents relating to Speedinvest’s investment vehicles (such as share transfer agreements, shareholder and investors board resolutions)

  • Support with the corporate housekeeping, such as drafting of various documents relating to group companies in various jurisdictions (e.g. shareholder resolutions and amendments of articles of association) and making companies register filings

  • Support other teams of the organization with operational legal matters and ad hoc support with various legal matters, including by way of managing the outsourcing of such matters to external lawyers

  • Management of regular administrative legal matters such as powers of attorney

  • Building and maintaining a knowledge and template base for the matters within your area of responsibility

  • Possibility to also work on regulatory law matters, as required (in particular around the AIFMG)

Investment transactions:

  • Assist with reviewing, negotiating and administering all legal documents governing Speedinvest’s portfolio transactions across various jurisdictions (e.g. investment agreements, shareholder agreements, articles of association and ancillary documentation)

  • Support the transaction process for our investments into startups by advising Speedinvest’s investment team on the fundamental deal terms (including the commercial terms, based on capitalization tables)

YOUR QUALIFICATIONS

  • A completed degree in law from an Austrian university

  • Around 1 to 3 years’ professional legal experience in a fast paced environment, ideally including corporate law matters and/or M&A transactions in a corporate law firm

  • Analytical mindset and attention to detail

  • Comfortable and interested in working on a broad range of topics and regularly on new topics

  • Flexible and agile with the ability to adapt quickly to changing environments

  • Ability to work independently as well as in a team

  • Generally open and helpful personality

  • Fluent in both German and English (written and oral communication is mostly in English - including all documents/contracts)

Nice to have, but not a requirement:

  • The Austrian bar exam is a plus

  • Experience in financial regulatory law is a plus

  • Experience in employment law is a plus

  • According to Austrian law we are required to state a minimum salary for this position. The expected minimum salary for this role is EUR 45,000.00 gross annually. The salary will be a competitive package based on previous work experience, hence overpayment is possible.
